Terms of service

Effective

FilingDates reminds; you file. These terms set out what that means for a practice that uses it, and who stands behind it.

Who operates the service

FilingDates is operated by Lyra Ventures LLC, a New York limited liability company. In these terms “we” is Lyra Ventures LLC and “you” is the practice that holds the account and anyone who signs in to it.

Mailing address: 348 4th Avenue Ste 1031, Brooklyn, NY 11215, United States.

What the service does, and what it does not

It computes filing and payment due dates from official government pages, applies them to the attributes you record for each client, and reminds you of them — in a worklist, a calendar feed and reminder emails. Every date links to the official page it came from, with the date that page was read.

It never files anything. It does not prepare, sign, submit, e-file or extend any return, payment or report, and it does not contact any agency for you. Marking an obligation done or extended records what you did; it does not do it.

It is not tax, legal or accounting advice. A line shows that a rule, as its official source states it, matches the attributes you recorded. Whether an obligation applies to a client, and what to file, is your professional judgment.

Who is responsible for each deadline

You are. The preparer remains responsible for every deadline for every client, including the due diligence Treasury Circular 230 § 10.22 asks of a practitioner. A reminder that arrives, arrives late or does not arrive changes no due date and no one’s obligation to meet it. Confirm each date with its linked source before you rely on it.

You are also responsible for the attributes and attestations you record — entity type, states, fiscal year-end, payroll and deposit schedule, registrations, elections and the rest. Dates are computed from them, so a wrong attribute gives a wrong calendar.

Where the dates come from, and what we warrant about them

Each date is computed from an official government page, quoted verbatim and linked with the date it was read. We warrant only that a dated line reflects its linked source as published at retrieval. Agencies change their pages and the IRS postpones deadlines after disasters. A changed rule is checked by a person against its source before it is published, and the clients it affects are listed for you to review. Beyond that, the service is provided as is, without any other warranty, express or implied, including fitness for a particular purpose.

Unsupported lines are holes by design. Where no official source has been confirmed for an obligation, the line is marked unsupported with the reason and carries no date. It is never guessed. Track those obligations from the agency’s own page. Coverage is shown per jurisdiction on each public calendar page.

What we are liable for

To the extent the law allows, we are not liable for any penalty, interest, fee, lost client or other loss that follows from a missed, late or incorrect filing or payment, whether or not a date or a reminder was shown, and our total liability for any claim about the service is limited to what you paid us for it in the twelve months before the claim arose. Nothing in these terms limits a liability that the law does not allow to be limited.

Your account and your client data

One account is one practice. You sign in with a one-time link sent to your email; keep access to that mailbox to yourself. The client roster is attributes only: do not record a Social Security number, an EIN, a financial figure or a document — the service refuses the ones it can recognize.

The roster and calendars are yours. You can export them as CSV at any time, including after a subscription ends. How we handle the data is set out in the privacy notice.

Calendar-feed and unsubscribe links carry a secret. Anyone holding a feed address can read the dates in it, so share it only with your own calendar apps, and turn it off or rotate it from the feed settings if it leaks.

What it costs

The service is free while it is in its first stage: your roster, every client’s calendar, CSV export, the practice calendar feed, reminder emails and rule-change updates need no card. Nothing is charged unless you start a subscription, and we will email the account holder before any paid plan is offered for the account.

What you may not do

  • Use the service for anything unlawful, or to store data about people who have not engaged your practice.
  • Try to reach another practice’s data, test the service’s security without our written permission, or overload it.
  • Resell access to the service. The public calendar pages and calendar files are free to read, link and subscribe to.

We may suspend an account that does these things, and will tell you why.

When these terms change

The effective date above moves when the wording does. For a material change we will email the account holder before it takes effect; continuing to use the service after that date accepts the new terms.

Which law governs these terms

These terms are governed by the law of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the service will be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to the personal jurisdiction of those courts. There is no arbitration clause.
